1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of setnova.us (the "Site") and any related services offered by SetNova ("SetNova," "we," "us," or "our"), including submitting a business inquiry, applying as a setter, or engaging SetNova for training, recruitment, placement, or management services. By accessing the Site or submitting information through it, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Description of service

SetNova operates a two-sided service. For businesses, SetNova provides setter recruitment, vetting, training, placement, management, and related consulting services. For individuals, SetNova provides setter training, coaching, assessment, certification, and consideration for placement opportunities with SetNova business clients. The Site itself is an informational and application intake tool; specific service terms, deliverables, pricing, and schedules for any paid engagement will be set out separately in a proposal, order form, or service agreement that both parties agree to before work begins or payment is collected.

3. Eligibility

You must be at least 18 years old to submit a setter application or enter into any paid engagement with SetNova. By applying, you represent that all information you provide is truthful and accurate. SetNova reserves the right to decline, delay, or discontinue any application, inquiry, or engagement at its sole discretion, including where information provided is incomplete, inaccurate, or where a party does not meet SetNova's criteria for training, placement, or client engagement.

4. No guarantee of placement, outcomes, or income

Completing SetNova training, coaching, or certification makes a setter applicant eligible for placement consideration. It does not guarantee employment, a specific placement, a specific timeline, or any level of income. Compensation for placed setters is set independently by the hiring business and varies by role, structure, and performance. Submitting a business inquiry, engaging SetNova for recruitment, or purchasing a management service does not guarantee a successful match, a specific candidate, retention of a placed setter, or any particular business result, including appointment volume, show rate, or revenue. All outcomes depend on factors outside SetNova's control, including individual skill, effort, fit, and market conditions.

5. Fees and payment

Where a SetNova service involves a fee, whether training, coaching, placement, recruitment, or management, the applicable pricing, payment schedule, and refund or cancellation terms will be presented to you and agreed upon separately before any payment is collected. No payment is required to submit an inquiry or application through this Site. All fees for engaged services are described in the applicable order form or service agreement, which will govern in the event of any conflict with this general statement.

6. Business client responsibilities

If you engage SetNova as a business, you are responsible for providing accurate information about your offer, sales process, and requirements, for engaging in good faith with candidates presented to you, and for complying with applicable employment, contractor classification, and labor laws with respect to any setter you engage, directly or through SetNova. SetNova does not act as the employer of record for placed setters unless expressly agreed in a separate written agreement.

7. Setter applicant responsibilities

If you apply as a setter, you agree to provide accurate information, participate in training and assessment in good faith, and represent your skills and experience honestly. Placement with a business client, if it occurs, may be subject to additional terms set by that business, including its own compensation structure, expectations, and conduct standards, which SetNova will make available to you before you accept a placement.

8. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent information in any application or inquiry;
• Use the Site or application process for any purpose other than a genuine business or setter inquiry;
• Attempt to gain unauthorized access to the Site, its systems, or other users' data;
• Interfere with or disrupt the Site's operation, including through automated scraping or spam submissions; or
• Reverse-engineer, copy, or misuse any content, branding, or materials from the Site outside of fair, personal, non-commercial reference.

9. Intellectual property

The Site, including its text, design, graphics, logos, and underlying code, is owned by SetNova or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use SetNova's name, logo, or branding without prior written permission.

10. Third-party services

The Site may link to, embed, or integrate with third-party services, including scheduling tools, CRM platforms, and analytics providers. SetNova is not responsible for the content, functionality, or privacy practices of third-party services, and your use of them is governed by their own terms.

11. Disclaimers

The Site and all information on it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. SetNova does not warrant that the Site will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the fullest extent permitted by law, SetNova and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site or any SetNova service, even if advised of the possibility of such damages. SetNova's total aggregate liability for any claim arising from these Terms or a SetNova service will not exceed the amount you paid to SetNova, if any, in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold SetNova harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, or information you submit that is false or misleading.

14. Termination

SetNova may suspend or terminate your access to the Site or any ongoing application, engagement, or placement process at any time, with or without notice, for conduct that violates these Terms or that SetNova believes is harmful to its business, other users, or third parties.

15. Governing law and disputes

These Terms are governed by the laws of the state in which SetNova maintains its principal place of business, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts with jurisdiction over that location, and you consent to personal jurisdiction there.

16. Changes to these terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.
